Terms of Service

The rules and conditions for using PayGrid's payment infrastructure, APIs, and merchant tools.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of PayGrid's website, dashboard, APIs, payment links, hosted checkout pages, webhooks, and related services (collectively, the "Services").

By creating an account, integrating our APIs, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you have authority to bind that business.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

PayGrid provides payment infrastructure that enables merchants to accept payments, initiate payouts, view transaction activity, reconcile balances, and integrate money movement into their products.

We may add, modify, suspend, or discontinue features at any time. We will use reasonable efforts to provide notice of material changes that affect your integration, but uninterrupted availability is not guaranteed.

PayGrid is a technology and payments platform. Unless expressly stated in a separate written agreement, we are not your bank, escrow agent, or money transmitter to your end customers.

3. Eligibility and Account Registration

To use the Services, you must be at least 18 years old, legally able to enter into contracts, and authorized to operate the business associated with your account.

You must provide accurate, complete, and current registration information and keep it updated. We may request identity verification, business documentation, and additional due diligence at onboarding or at any time.

You are responsible for all activity under your account, including actions taken by your employees, contractors, and anyone using your credentials or API keys.

4. Merchant Responsibilities

You are solely responsible for your products, services, pricing, customer relationships, refunds, fulfillment, and compliance with laws applicable to your business.

You must:

  • Obtain all required licenses, permits, and consents before accepting payments.
  • Provide clear, accurate descriptions of what customers are paying for.
  • Honor your refund, cancellation, and customer support policies.
  • Protect customer data and use PayGrid only for lawful purposes.
  • Ensure your integration, website, and checkout flows comply with card network, mobile money operator, and regulatory requirements.
  • Promptly notify us of suspected unauthorized access, fraud, or security incidents involving your account.

5. Fees and Billing

Fees for collections, payouts, and other Services are described on our Pricing page or in a separate commercial agreement. Fees may be deducted from settlement amounts, invoiced, or collected by other means disclosed at signup.

You authorize PayGrid and our partners to deduct applicable fees, chargebacks, reversals, reserves, penalties, and adjustments from funds processed through your account.

We may change pricing with reasonable notice, except where a fixed commercial agreement applies. Continued use after a pricing change constitutes acceptance of the updated fees.

6. Prohibited Activities

You may not use the Services for unlawful, deceptive, abusive, or high-risk activity. Without limitation, you may not use PayGrid for:

  • Illegal goods or services, fraud, money laundering, terrorist financing, or sanctions violations.
  • Unlicensed financial services, pyramid schemes, or deceptive investment programs.
  • Sale of prohibited or restricted products as determined by PayGrid, payment networks, or applicable law.
  • Circumventing security controls, probing systems without authorization, or interfering with platform integrity.
  • Transmitting malware, scraping sensitive data without permission, or reselling access without our written consent.
  • Processing transactions without a bona fide underlying sale or service, including self-dealing intended to manipulate volume or cash flow.

7. API and Technical Use

API keys, secrets, tokens, and dashboard credentials are confidential. You must store them securely and must not embed secrets in client-side code or public repositories.

You agree not to exceed published rate limits, abuse webhooks, or use the Services in a manner that degrades performance for other users.

We may monitor usage for security, compliance, and operational purposes. You must implement appropriate error handling, idempotency, and reconciliation in your integration.

8. Settlements, Reserves, and Funds

Settlement timing depends on payment method, risk review, partner rules, and account status. Displayed settlement timelines are estimates, not guarantees.

We may delay, reserve, offset, or withhold funds where required by law, requested by a payment partner, or reasonably necessary to address fraud, chargebacks, disputes, negative balances, or policy violations.

You remain liable for all reversals, chargebacks, refunds, fees, and losses arising from your transactions, including amounts that exceed available balances.

9. Chargebacks, Refunds, and Disputes

You are responsible for handling customer disputes, refund requests, and chargebacks related to your sales. We may assist by providing transaction data and processing refund instructions you initiate through the Services.

If a payment is reversed, charged back, or found to be invalid, you authorize us to debit your account or future settlements for the disputed amount plus associated fees.

Failure to maintain adequate balances or provide required dispute documentation may result in account suspension or termination.

10. Intellectual Property

PayGrid and its licensors own all rights, title, and interest in the Services, software, documentation, branding, and related intellectual property, except for content you provide.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during the term of your account, subject to these Terms.

You may not copy, modify, reverse engineer, create derivative works from, or remove proprietary notices from any part of the Services except as expressly permitted by law or written authorization.

11. Confidentiality

Each party may receive non-public information from the other. You must protect PayGrid's confidential information, including unpublished product details, security information, and pricing not publicly posted.

Confidentiality obligations do not apply to information that is public without breach, independently developed, or lawfully received from a third party without restriction.

12. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.

PayGrid disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any transaction will be authorized, completed, or irrevocable.

13. Limitation of Liability

To the maximum extent permitted by law, PayGrid and its affiliates, directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption.

To the maximum extent permitted by law, PayGrid's total liability arising out of or related to the Services or these Terms will not exceed the greater of (a) the fees paid by you to PayGrid in the three months before the event giving rise to the claim, or (b) USD 100.

These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

14. Indemnification

You will defend, indemnify, and hold harmless PayGrid and its affiliates, officers, directors, employees, and agents from and against claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your products, services, marketing, or customer relationships.
  • Your breach of these Terms or applicable law.
  • Disputes between you and your customers, including chargebacks and refund claims.
  • Misuse of the Services, negligent integration practices, or unauthorized account access caused by your failure to safeguard credentials.

15. Suspension and Termination

You may close your account at any time, subject to settlement of outstanding obligations. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, pose a security or compliance risk, or are required to do so by law or a payment partner.

Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination will survive, including fees owed, indemnification, limitation of liability, and dispute resolution.

16. Governing Law and Disputes

These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law principles.

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes through direct negotiation. If unresolved, disputes will be submitted to the competent courts of Tanzania, unless otherwise required by mandatory law.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Where required, we will provide additional notice through the dashboard or email.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
